Terms & Conditions
These Terms and Conditions (“Terms & Conditions”) are a binding legal agreement between you (referred to as “you,” “your”, “User”, and/or “Customer”) and Funds Flow (referred to as “Funds Flow”, “we,” “us,” and/or “our”) that govern your use of Funds Flow website (the “Platform”).
Please read them carefully along with the Platform’s privacy policy that govern the collection, use, and the disposal of personal data provided by data subjects through and for the use of the Platform (the “Privacy Policy”)
1. Information about the Company
1.1 The Company refers to Funds Flow, registered with a Commercial Registry No. 45158, Located at 3 Mosaddak St., Dokki, Giza, Egypt, Cairo Governorate.
2. TERMS & CONDITIONS
2.1 These Terms & Conditions set out the general terms governing your use of the Platform. These Terms & Conditions apply to you as soon as you first use theby registering on the Platform, and you are deemed to have agreed to be bound by them upon your first useregistration of the Platform.
2.2 Once you engage in any of the Servicesregister on the Platform, you acknowledge that you shall be contractually bound by the Terms & Conditions, the payment methods stipulated herein in Clause (4) and the relevant service agreement.
3. NATURE OF SERVICES
3.1 Funds Flow provides a variety of services (the “Services”) including, but not limited to:
3.1.1 Fundraising advisory and investor matching.
3.1.2 Pitch deck and data room support.
3.1.3 Financial modelling and valuation guidance.
3.1.4 Mentorship and business strategy advisory.
3.1.5 Marketing, branding, and platform development.
3.1.6 Investor screening and deal facilitation.
3.2 Funds Flow reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. The User agrees that Funds Flow shall not be liable to the User or any third party for any modification, suspension or discontinuance of the Service.
4. TYPES OF USERS
4.1 Funds Flow provides Services to a diverse range of Users which may include:
4.1.1 Startups seeking funding, mentorship, strategic advisory, or platform development;
4.1.2 Investors seeking access to investment opportunities, due diligence materials, and portfolio management tools;
4.1.3 Other Individuals or Entities who may not fall under the categories of startup or investor, but who wish to engage Funds Flow for any other Services. In addition to anyone who merely uses the Platform in any way.
4.2 All Customers, regardless of their category, are treated equally and agree to be bound by these Terms & Conditions and acknowledge that their use of any Service is subject to availability, scope, and applicable fees as outlined in the relevant service agreement or offering.
5. FEES
5.1 Services found in the “Consultation” section on the Platform are subject to fees. The applicable fees for each Service shall be apparent on the Platform prior to engagement and shall vary based on the nature, scope, and duration of the requested Service. (“Consultation Fees”).
5.2 All Consultation Fees must be paid in full in accordance with the payment terms specified at the time of engagement. Unless otherwise stated, all payments are non-refundable.[Dm1]
5.3 Further, when a transaction is successfully closed between a startup and any investor introduced or facilitated through the Platform, including but not limited to an equity investment, convertible instrument, SAFE, loan, shareholders agreement or strategic partnership (a “Closed Transaction”), Funds Flow shall be entitled to a fee (“Success Fee”).
5.4 The Success Fee shall be calculated as a percentage of the total transaction value and shall be determined solely by Funds Flow based on the nature, size, and complexity of the transaction. The applicable percentage shall be communicated to the parties in advance or agreed upon in writing prior to or upon engagement in the fundraising process[Dm2] .
5.5 The Customer agrees to promptly notify Funds Flow upon the closing of any transaction facilitated in whole or in part through the Platform, and to cooperate in the accurate calculation and timely payment of the applicable Success Fee.
5.6 In the event that a startup and an investor (Customers) are introduced, matched, or otherwise become aware of one another through the Platform or any of its Services, and subsequently enter into a transaction or agreement of any nature within twelve (12) months from the date of their initial introduction or contact facilitated by Funds Flow, such transaction shall be deemed facilitated by Funds Flow for the purposes of this Clause. Therefore, in such case, Funds Flow shall be as well entitled to Success Fee.
5.7 Funds Flow reserves the right to enforce the payment of Success Fee through direct invoicing or, where applicable, through third-party payment arrangements or escrow mechanisms.
5.8 Any fees payable under these Terms & Conditions and other relevant agreements are exclusive of the value added tax.
5.9 All fees shall be payable in [Currency[MA3] ] and must be settled through the designated online payment methods provided by Funds Flow.
6. LIMITATION OF LIABILITY
6.1 Funds Flow, its affiliates, personnel, agents, successors, and any of its respective officers, directors, employees, subsidiaries, suppliers, or third parties providing information or Services on the Platform shall not be liable to any Customer or any third party for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages—including but not limited to loss of profits, loss of business opportunity, loss of data, or loss of use—arising out of or in connection with the use of, or inability to use, the Platform or any of its Services, whether based in contract, warranty, tort (including negligence), strict liability, or otherwise, even if Funds Flow has been advised of the possibility of such damages.
6.2 In no event shall the total liability of Funds Flow, its affiliates, or any of their respective officers, directors, employees, agents, successors, subsidiaries, suppliers, or third-party service providers exceed the amount actually paid by the Customer to Funds Flow for the Service giving rise to the claim.
6.3 Funds Flow acts solely as an independent intermediary and facilitator between various types of Customers who engage with the Platform for Services. Accordingly, Funds Flow shall bear no liability or responsibility whatsoever for any claims, disputes, contractual disagreements, business outcomes, damages, or liabilities arising between or among Customers who may engage with each other through the Platform, whether such disputes relate to investments, Services, deliverables, representations, or any other transaction or communication. All such matters shall remain strictly between the relevant parties, and Funds Flow disclaims any involvement or responsibility in connection therewith.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 The Platform may, at any given time, include a variety of content, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, interface design, page layout, underlying code, and software (collectively, the “Content”).
7.2 All Content is the exclusive property of Funds Flow, its affiliates, or third-party licensors and partners. As such, it is protected by applicable copyright laws, trademark laws, database rights, and other intellectual property rights under international treaties and relevant national legislation.
7.3 Except where expressly stated otherwise, no part of the Platform or its Content may be reproduced, copied, distributed, stored, modified, published, transmitted, displayed, performed, or otherwise used in any form or by any means without the prior express written consent of Funds Flow.
7.4 For the avoidance of doubt, any form of unauthorized data mining, scraping, crawling, or automated data extraction from the Platform is strictly prohibited without the express prior written consent of Funds Flow and holds the Customer liable for such breach.
7.5 By registering on the Funds Flow platform and/or engaging any of its Services, the Customer hereby grants Funds Flow a non-exclusive, royalty-free, worldwide, and perpetual license to use the Customer’s name, logo, trademark, service mark, trade name, and other brand identifiers (“Customer’s IP”) for the purpose of identifying the Customer as a user or client of Funds Flow.
7.6 Funds Flow may use the Customer’s IP in its marketing and promotional materials, including but not limited to websites, press releases, case studies, pitch decks, social media posts, event displays, printed materials, newsletters, and public presentations, in any format or media now known or hereafter developed.
7.7 The Customer acknowledges and agrees that such use does not require further approval or compensation, and constitutes full consent granted upon registration with Funds Flow.
8. NO RESALE OF SERVICE
8.1 The User agrees not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service, including any Content of Funds Flow to any person, firm or corporation.
9. WARRANTY
9.1 Funds Flow does not warrant the continued performance or non-interruption of the Platform for any event beyond our might, including events set out in Clause (12) (Force Majeure).
9.2 Due to the fact that Funds Flow acts as a medium of connection between customers, Funds Flow does not warrant or guarantee the success or outcome of any fundraising process, transaction, investor engagement, or partnership facilitated through the Platform. All decisions and engagements between Customers are made at their own discretion and risk.
9.3 Any advice, consultation, or recommendation provided by Funds Flow, its personnel, or affiliates—whether through the Platform or otherwise— shall be for informational purposes only and does not constitute legal, financial, or investment advice. Customers are solely responsible for obtaining their own professional advice as needed.
10. WRITTEN COMMUNICATIONS[Dm4]
10.1 Applicable laws require that some of the information or communications we send to you should be in writing. By using the Platform, you accept that communication with us shall be written (“Electronic Communications”). Electronic Communications shall be carried out by e-mail or by posting notices on the Platform (“Electronic Means of Communications”).
10.2 For contractual purposes, you agree to Electronic Communications and you acknowledge that all contracts, notices, information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.
11.1 Data collected are treated as confidential and in good faith. When registration is made, your data is collected for business and marketing purposes in the form of personal information such as last name, first name, address, email address and phone number. In addition to data explicitly entered, information is gathered automatically from the log files when you access the Platform. Funds Flow makes a distinction between master data (e.g., IP address, time and date of access) and activity data (e.g., name of file accessed, paths clicked on). For statistical purposes, this data is anonymously assessed. Funds Flow may share the address, phone number and other required information with partners for the fulfilment of orders or to have CRM systems aligned.
12. INDEMNIFICATION
12.1 You agree to indemnify, hold harmless, and defend Funds Flow, its parent company, subsidiaries, divisions, and affiliates, and their respective officers, directors, employees, agents and affiliates against any and all claims, liabilities, damages, costs and expenses of defense, including legal fees, in any way arising from or related to the following non-exhaustive list of behaviours: (i) your use of the Platform; (ii) your violation of these Terms & Conditions or the Privacy Policy; or (iii) your breach of any laws, regulations or third party rights such as intellectual property or privacy rights.
13. FORCE MAJEURE
13.1 We will not be liable or responsible for any failure or delay in the performance of any of our obligations that is caused by events outside our reasonable control (“Force Majeure Event”).
13.2 A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
13.2.1 strikes, lockouts or other industrial action;
13.2.2 civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
13.2.3 fire, explosion, storm, flood, earthquake, subsidence, epidemics, pandemics, or other natural disasters;
13.2.4 impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
13.2.5 impossibility of the use of public or private telecommunications networks;
13.2.6 the acts, decrees, legislation, regulations or restrictions of any government;
13.2.7 Internet outages or telecommunications failures; and
13.2.8 Cyberattacks, hacking, ransomware incidents, denial-of-service attacks, or other malicious or unauthorized intrusions into the Platform or its servers.
13.3 In the event of a Force Majeure Event occurrence, Funds Flow shall make reasonable efforts to mitigate the impact and resume performance as soon as practicable. However, such events shall not constitute a breach of these Terms & Conditions, nor shall they entitle any Customer to any claim for loss or damages.
14. MODIFICATIONS
14.1 Funds Flow may modify these Terms & Conditions at any time with the latest revisions being posted on the Platform (the “Revised Terms & Conditions”). The Revised Terms & Conditions will be followed by a date that indicates the latest update. Additionally, Funds Flow will also provide you with a notice of any changes to the Terms & Conditions by email at least thirty (30) days before the date they become effective (the “Effective Date”) and through the Platform’s notification system. By using the Platform after the Effective Date, you shall be considered to have agreed to the Revised Terms & Conditions.
15. APPLICABLE LAW AND JURISDICTION
15.1 These Terms & Conditions, Agreements, and any transaction and behavior related herein, are governed by the laws of Egypt (the “Applicable Law”).
15.2 Any dispute arising out of or in connection with the Platform shall be referred to and finally resolved by arbitration within thirty (30) days of its arousal. The number of arbitrators shall be one and the language to be used in the arbitral proceedings shall be English. The law governing the dispute shall be the Applicable Law. The seat (the legal place) of the arbitration shall be the Cairo Regional Centre for International Commercial Arbitration (“CRCICA”) and the arbitration rules shall be those of CRCICA in force at the date of the reference to arbitration shall apply.
16. PLATFORM OPERATION
16.1 Funds Flow controls the Platform and operates it from Egypt. Funds Flow makes no representation that the Platform may be properly used in other locations and jurisdictions.
16.2 If you use the Platform from other locations, you are responsible for ensuring compliance with your domestic laws. You may not use, export or re-export any materials from the Platform in violation of any applicable laws or regulations, including, but not limited to any Egypt export laws and regulations.
17. RESTRICTIVE GUIDELINES
17.1 Funds Flow may, at its sole discretion and at any time, discontinue or suspend the Service, in whole or in part, with or without prior notice. The User agrees that termination of access to the Service, under any provision of these Terms & Conditions, may occur without prior notice. The User also acknowledges and agrees that Funds Flow may immediately deactivate or delete the User's account, along with all related information and files, and/or restrict any further access to the account or the Service. The User further agrees that Funds Flow shall not be liable to the User or to any third party for any termination or suspension of access to the Service.
18. LINKS
18.1 The Funds Flow Platform may contain links to third-party websites or resources. Unless expressly stated otherwise, such websites are not under the control of Funds Flow, its affiliates, or partners, and Funds Flow makes no representations or warranties regarding the content, accuracy, legality, or functionality of such external sites.
18.2 Funds Flow accepts no responsibility or liability for any loss or damage that may arise from your use of or reliance on third-party websites linked through the Platform. Accessing and using such websites shall be done entirely at your own risk.
18.3 The inclusion of a link to any third-party website on the Platform does not imply endorsement, sponsorship, or recommendation by Funds Flow, nor does it constitute any form of association or partnership unless explicitly stated.
